Case Study
Creating a Flawless First Look
An M&A advisory firm was preparing a 50-page confidential offering memorandum to take a client company to market. This document would be the first impression for prospective buyers—unclear financial diagrams or errors in the data could damage both the advisory firm’s reputation and the chances of a deal.
The firm had written the memorandum in-house but needed a proofreader who could clean up grammar and syntax without disturbing the carefully constructed financial and legal content. I confirmed scope with the client: all content was material to the offering and could not be altered, but the grammar, syntax, and usage had to be flawless.
I proofread and lightly edited the document, preserving the author’s voice while correcting errors, converting run-ons to compound sentences, and tightening construction. The deliverable included:
- A document with Track Changes enabled, allowing the client to review and accept individual changes
- Inline notes flagging corrections that required the author’s judgment or questions about intended meaning
- External strategic recommendations on further strengthening the document without overstepping scope
- Light writing advice including sentence construction, adjective usage, and passive voice
The client received the proofread memorandum within hours. In their words: “Thanks for the quick turnaround and recommendations… it’s been difficult to find someone who can do good work with a base understanding of our industry.”
